Independent Business Review (IBR) stands for an examination of a company conducted by an impartial third party that has no prior connection to the company. The purpose of the IBR is to assess the financial restructuring of the business. Typically, the IBR is requested by an interested party such as a bank, other financial institution, or investor.

An independent business review is a key step in financial restructuring. Shareholders, investors, bankers, management, and all parties involved in the business's financial restructuring require objective information to make decisions. An independent financial and economic analysis provides them with a common foundation for negotiations.

The way of conducting IBR is not established, however, reviews typically cover:

• A "snapshot" of the company's financial position as of the review date.
• Company forecasts in the short and medium-term perspectives.
• General business model and financial strategies.

The benefits for creditors and debtors are obvious: the former retain a solvent debtor, avoiding the forced sale of their property and increasing the level of debt repayment. The latter, in turn, gain a chance to restore their business activity by reducing the financial burden, improving liquidity, obtaining new funding, or receiving a moratorium or standstill on fulfilling their obligations.
